PINK Million-Dollar Stock Market Challenge INVOLVES FANTASY TRADING OF SECURITIES ONLY IN A SIMULATED VIRTUAL ENVIRONMENT. ALL "TRADING", "GAINS" AND "LOSSES" EXPERIENCED DURING THIS TOURNAMENT ARE FICTIONAL AND ARE PLAYED WITH FICTITIOUS MONEY. OTHER THAN DELIVERY OF PRIZES, PINK AND ITS AFFILIATES (PINK) AND SANDERS FINANCIAL MANAGEMENT (SFM) SHALL HAVE NO LIABILITY TO PAY ANY ENTRANT ANY MONEY WHATSOEVER IN CONNECTION WITH THIS CHALLENGE. THIS CHALLENGE IS SUBJECT TO BOTH THE TRADING RULES AND OFFICIAL RULES.

1. Eligibility: PINK Million-Dollar Stock Market Challenge (the "Contest"), powered by STOCK-TRAK Ltd is open only to citizens of the United States of America Subject to all applicable laws and regulations and must be of legal age of consent in their respective State. Void where prohibited by law. Employees of PINK Magazine and Sanders Financial Management and their immediate families are also ineligible to participate in the: PINK Million-Dollar Stock Market Challenge

2. Agreement to Official Rules: By participating in the Contest, each entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of Promoter in all matters relating to the Contest, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.

3. Timing: The Contest begins on January 14, 2008 at 9:30 a.m. United States Eastern Time ("ET") and ends on April 4th, 2008 4:00 p.m. ET, (the "Promotion Period"). While 9:30 a.m. ET can be defined as the market open of New York Stock Exchange ("NYSE"), 4:00 p.m. ET is defined as the market close of the NYSE. Pre-Market trading and after-market trading are not allowed in this contest.

Entry Period Begins at 9:30 am ET on December 20th, 2007 and until such time that there are 1000 registered participants.

4. How to Enter:
a. Register: Fill in the required fields at www.PINKstockchallenge.com

b. Play the "Contest": During the Trading Periods, go to www.PINKstockchallenge.com and login under your user profile. Entrants will advance to play the Contest. Each Entrant will start out with $1,000,000 at the beginning of each Trading Period of play money in his/her fictitious portfolio on the PINKstockchallenge website. This is not real money and has no monetary value outside the Contest. Entrants can buy, sell, and otherwise trade any and all investment vehicles available on the NYSE, NASDAQ Stock Market ("NASDAQ") and American Stock Exchange ("AMEX") listed on the PINKstockchallenge website. Entrants must place one (1) trade during the applicable Entry Period to be eligible for that Entry Period's prize. Entrants who create a user profile but do not buy, sell, or otherwise trade any investment vehicles during any Entry Period, simply retaining the initial $1,000,000 in his/her fictitious portfolio and will not be eligible to win a prize for that Entry Period. The Entrant must also adhere to the following guidelines for transactions:

5. TRADING TIMES & METHODS
STOCK-TRAK offers several methods for you to place your trades. Before making any trades, you must be prepared with your account number, password, and the ticker symbols of the securities. The cutoff times for US trades is 4 p.m. ET. Any trade made after that time will be processed the next business day. STOCK-TRAK is not responsible for trades that are not received or are incomplete.

6. SECURITIES THAT CAN BE TRADED
STOCKS: You can buy, sell, and sell short all actively traded NYSE, AMEX, and NASDAQ stocks (common and preferred) that are priced at $3.00 or more. Also adjustments will not be made for any cash dividend less than $0.10 or any stock dividend less than 2%. Small-cap (Bulletin Boards and PINK Sheets) stocks cannot be traded.

STOCKS: There are four basic trades to make with stocks. They can be bought, sold, sold short, and covered. When "buying" a stock, you are taking a long position with the hope that the price per share will increase. "Selling" a stock refers to the closing of that long position. "Selling short" is selling a stock that you don't own with the hope that you can later buy the stock back at a lower price. When you buy the stock back to close your short position, it is called "covering" your short position. You cannot short against the box.

7. PRICES, VOLUME & POSITION LIMITS
Stock trades made on the web page will be filled at the appropriate bid/ask if quoted by the exchange, otherwise at the last traded price. All other trades will be made at the "last trade" price of the security for each day. The maximum number of shares each participant may trade for any security is limited to one-half of the actual volume of that security on that day. Orders are market orders. Occasionally prices vary from one quote source to another, so it is strongly recommended that you use our web page to get quotes.

8. TICKER SYMBOLS
When making trades, you must know the ticker symbol of the securities to be traded. Stock ticker symbols can be found on our web page. Illiquid securities or securities not quoted by STOCK-TRAK's data vendor are excluded.

9. COMMISSION
A brokerage commission is applied to all transactions. The commission for most trades made on the web page is a flat US$10.00.

10. MARGIN REQUIREMENTS
The margin requirement for stock purchases and short sales is 50%. This means that for stock purchases you can borrow up to 50% of the total cost. For short sales, you must deposit an amount equal to 50% of the current market value of your short positions. Starting with $1,000,000, STOCK-TRAK may loan you another $100,000, making your total buying power $200,000 if you are trading marginable securities.

11. INTEREST EARNED
Interest will be earned on all available cash balances and credited at the close of each day. Interest will be calculated using a money market rate, currently 3%.

12. INTERST CHARGED
Interest will be charged on all loan balances and will be debited at the close of each day. The rate will be five percentage points above the money market rate.

13. CALCULATION OF EQUITY
A portfolio's equity or value is calculated as follows:
Cash - Debit bal. + Credit bal. + MV of long positions - MV of short positions
(Debit = loan balance, Credit = short sales proceeds, MV = current market value)

14. CALCULATION OF BUYING POWER
A portfolio's available buying power is calculated as follows:
Equity + Cash - Debit bal.-2 x Margin Requirements
When an account's buying power is negative, opening trades will not be accepted on the account the following day--participants will only be able to close positions.

15. DISPUTES AND ERRORS
You must have your confirmation number when disputing a trade. Given the nature of stock price quoting services, prices may vary among sources. Due to the amount of technology involved, occasionally prices may not be available. When this occurs, transactions may be posted at the latest pricing available. It is strongly recommended that you keep copies of your confirmations. If you believe an error has been made on your account, you must report it before next trading day. The management of STOCK-TRAK has the ultimate authority to settle disputes.

16. PORTFOLIO STATEMENTS
Participant account statements may be sent to PINK Officials every week. Account activity can also be reviewed at www.stocktrak.com. It is important to keep copies of the statements received since they cannot be reprinted. STOCK-TRAK does not keep individual historical portfolio valuations.

17. NUMBER OF TRANSACTIONS
Most accounts are limited to 200 transactions during the promotion Each buy counts as a transaction and each sell counts as transaction.

18. MISCELLANEOUS

  • On the last day of the trading period, portfolio liquidation is not required; portfolios will be valued at closing prices for that day
  • Given the nature of internet based systems, trading may be halted from time to time due to unforeseen events.
  • Trades made when the market is open cannot be canceled; trades made when the market is closed may be canceled by making the offsetting trade before the market opens. Just email to STOCK-TRAK may refund the commissions charged.
  • Trading may be halted on a particular security if conditions warrant.
  • These rules are subject to modifications without notice. Please check the web page for updates.
  • STOCK-TRAK is intended to be as representative of actual portfolio management as possible; however, some requirements and transactions have been simplified.
  • With the use of your specified account number, you acknowledge reading, understanding, and accepting the terms of the STOCK-TRAK Portfolio Simulation as described herein. You also agree that STOCK-TRAK, its management, and its employees will not be held liable for damages of any kind that result from the use of the account.
  • Day-trading is NOT allowed
  • Market Orders are only allowed
  • Transactions have a 20% position limit

19. GENERAL PROVISIONS AND DETERMINATION OF CONTEST WINNERS
The entries will be judged between 9:30 p.m eastern daylight time time beginning at market close on April 4th, 2008 using data as supplied by the official data sources, NYSE, NASDAQ and AMEX (via STOCK-TRAK) and as made available from time to time on the Tournament website. All potential winners must comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. The Entrant with the highest percentage gain at the end of the contest (i.e. April 4th, 2008 US Market Closing Time) will be the potential winner. The ultimate determination and selection of winners will be conducted in accordance with these Official Rules on PINK's behalf by STOCK-TRAK, an independent judging organization whose decisions as to the administration of the Game and the selection of potential winners is final. The potential winners will be notified by mail, email or phone. Winner agrees to conduct any and all media interviews related to the contest if requested and not disparage the PINK during interviews. Failure to comply with this requirement for any reason or return of prize notification or prize as undeliverable will result in forfeiture of prize and an the Entrant with the next highest percentage gain at the end of Trading Contest will be selected by the Administrator from the remaining eligible entries and award the prize.

21. PUBLICITY
Except where prohibited, participation in the Contest constitutes winner's consent to PINK's use of winner's name, likeness, voice, opinions, biographical information, hometown and state for advertising and promotional purposes in any media worldwide without additional notice or further payment or compensation, except where prohibited by law. PINK will be entitled to report on, publish and identify any or all of the portfolios, in both print and online media.

22. GENERAL CONDITIONS
Portfolios may be identified and tracked every day. PINK and SFM retain the right to withdraw, decline or refuse any portfolio name which, in the sole discretion of PINK or SFM, is defamatory, illegal, undesirable or contrary to public policy. The NYSE, NASDAQ and AMEX (via STOCK-TRAK) are the Data Source Providers. Neither PINK, SFM nor any STOCK-TRAK shall have any liability for the accuracy or completeness of the information or software used in this Tournament, or for delays, interruptions or omissions therein nor for any lost profits, indirect, special or consequential damages. Entrants are not authorized or permitted to furnish the information or software provided for the Tournament to any person or firm for reuse or retransmission without prior written approval of the copyright owner. PINK and SFM cannot be held liable for system failures on the website or on data supply and processing. Neither can PINK nor SFM be held responsible for the failure to fulfill the obligations of any of the third parties involved in this Tournament, although PINK and SFM will always endeavor to minimize the effect to the Entrant of any such failure. To the fullest extent that may be excluded by law PINK and SFM accept no responsibility for or liability arising from Entrants taking part in the Tournament or howsoever arising and all activities are undertaken at the Entrants own risk. PINK, SFM and STOCK-TRAK do not assume any responsibility for any schedule changes in the Tournament timeline, including without limitation, scheduling conflicts, labor strikes, Acts of God, and other unforeseen events that disrupt the Tournament schedule. PINK and SFM reserve the right to cancel, modify, or suspend the Contest. In the event of unforeseen circumstances PINK and SFM reserve the right to offer an alternative prize of equal or greater value.

If for any reason the Contest is not capable of running as planned due to any Internet or software-related problem (including, but not limited to, unavailability of NYSE, NASDAQ and/or AMEX data for any reason), including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of PINK or SFM, which corrupts or affects the administration, security, fairness, integrity or proper conduct of this Contest, PINK and SFM reserves the right at its sole discretion to disqualify any individual who causes any such problem, and to cancel, terminate, modify or suspend the Tournament. PINK and SFM assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, unauthorized access to, or alteration of entries. PINK and SFM reserve the right to cancel or modify the Contest if fraud, technical failures or any other factor beyond PINK's or SFM's reasonable control impairs the integrity of the Contest, as determined by PINK or SFM in their sole discretion. In such event, PINK and SFM reserve the right to award the prizes at random from among the eligible entries received up to the time of the impairment. PINK and SFM reserve the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules, or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any website or undermine the legitimate operation of the Contest is a violation of criminal and civil law, and, should such an attempt be made, PINK and SFM reserve the right to seek damages from any such person to the fullest extent permitted by law. PINK's or SFM's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

23. LIMITATIONS OF LIABILITY
Released Parties are not responsible for: (i) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (ii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iii) unauthorized human intervention in any part of the entry process or the Contest; (iv) electronic or human error which may occur in the administration of the Contest or the processing of entries; or (v) any injury or damage to persons or property, including but not limited to Entrant's computer, hardware or software, which may be caused, directly or indirectly, in whole or in part, from Entrant's participation in the Contest. Neither PINK, SFM nor STOCK-TRAK is responsible for unauthorized transactions made on an account. Holdings will only be adjusted according to the split and dividend information reported to STOCK-TRAK by its sources for this information. However, STOCK-TRAK reserves the right to make corrections to holdings in the case of errors. STOCK-TRAK and its information sources will not be held liable for any errors resulting from inaccurate data including split and dividend information. STOCK-TRAK will provide general customer service assistance to Entrants but not investment advice.

24. DISPUTES
Except where prohibited, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, by the non-exclusive jurisdiction of the laws of Hong Kong, Special Administrative Region (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (3) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with the laws of State of Georgia ,

25. ENTRANT'S PERSONAL INFORMATION
Information collected from Entrants is subject to the PINK's Privacy Policy obtained from www.PINKmagazine.com Entrants have the right to access, withdraw, and correct their personal data.

26. RESULTS
Notification will be made by phone by April 8, 2008 and award presentation will be made on April 11th, 2008
